Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Cliqit (“we,” “us,” or “our”) governing your access to and use of the Cliqit mobile application and website located at cliqit.app (collectively, the “Service”).

By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old to use Cliqit. If you are under 18, you represent that you have your parent or legal guardian’s permission. We do not knowingly collect personal information from children under 13. If we learn we have done so, we will delete that information promptly.

Cliqit is a social planning app that helps you and your friends make plans and actually show up. Core features include:

• Plans — create plans with a name, description, date/time, and location. Invite friends and track RSVPs.
• Live ETA — share your real-time estimated arrival time with other plan attendees so everyone knows who’s on their way.
• Polls — create polls within plans to help your group decide on details like time, place, or activity.
• RSVP — respond to plan invitations with going, maybe, or can’t go.
• Friend Network — a contacts-based friend system with sent/received friend requests.
• Groups — organize your friends into groups for easier planning.
• Push Notifications — optional alerts for plan invites, RSVP updates, reminders, and ETA notifications.
• Moderation Tools — in-app blocking, content reporting, and automated content filters to keep the experience safe.

The Service is currently in development and features may change, be added, or be removed at any time.

We may deliver updates to the app via over-the-air (OTA) JavaScript bundles through Expo EAS Updates. These updates modify app behavior without requiring a new download from the App Store or Google Play. By using the Service, you consent to receiving such updates automatically.

You may sign in using Apple Sign-In or Google Sign-In. By doing so, you authorize us to collect and store the information provided by those authentication providers (such as your name and email address) as described in our Privacy Policy.

You are responsible for all activity that occurs under your account. You must:

• Keep your authentication credentials secure and not share them.
• Choose a username between 3–20 characters containing only letters, numbers, and underscores.
• Provide accurate information when setting up your profile.
• Notify us immediately at cliqit-support@googlegroups.com if you suspect unauthorized use of your account.

We reserve the right to suspend or terminate any account that violates these Terms or that we determine, at our sole discretion, poses a risk to other users or to the integrity of the Service.

4.1 Your Content

“User Content” means any text, plan names, descriptions, poll options, usernames, or other material you submit through the Service. You retain ownership of your User Content.

4.2 License to Cliqit

By submitting User Content, you grant Cliqit a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, transmit, display, and distribute that content solely for the purpose of operating and improving the Service. This license ends when you delete the content or your account, subject to copies already distributed to other users.

4.3 Content Standards

You agree not to submit User Content that:

• Is false, misleading, or fraudulent.
• Is defamatory, obscene, pornographic, hateful, or harassing.
• Promotes or glorifies violence or illegal activity.
• Infringes any third party’s intellectual property, privacy, or other rights.
• Contains malware, viruses, or any code intended to interfere with the Service.
• Violates any applicable law or regulation.

4.4 Content Visibility

Plan details (name, description, time, location, polls, RSVPs) are visible only to invited friends in each plan. Profile information (username, display name, avatar) is visible to all authenticated users so friends can find each other. You control your avatar and display name at any time from your profile settings.

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or our infrastructure.
• Scrape, crawl, or systematically extract data from the Service without our written permission.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated scripts or bots to interact with the Service.
• Spam, harass, stalk, or threaten other users.
• Create multiple accounts to circumvent bans or blocks.
• Impersonate any person or entity or misrepresent your identity.
• Interfere with or disrupt the Service or servers connected to it.
• Attempt to bypass or abuse our rate limits or moderation systems.
• Create plans with misleading information intended to deceive others.

Our Privacy Policy explains how we collect, use, and share your information and is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described therein.

We use Supabase for database, authentication, and storage infrastructure, and Expo / EAS for app delivery and over-the-air updates. We may also use Sentry for crash and error reporting. These providers process your data on our behalf under their own privacy commitments.

Cliqit’s Live ETA feature requires access to your device’s location. You will be prompted for permission before any access occurs. You may revoke location permissions at any time through your device settings.

Location data is collected only while you actively choose to share your ETA for a specific plan. It is shared only with other friends in that plan. Sharing stops automatically when you arrive, when the plan ends, or after 30 minutes — whichever comes first. See our Privacy Policy for full details on location data handling.

Cliqit may request access to your device contacts solely to help you find friends who are already on the platform. Phone numbers from your contacts are hashed (SHA-256) on-device before transmission and are never stored in identifiable form on our servers. You may decline contact access without affecting core app functionality.

During onboarding, you are asked to verify your phone number via a one-time SMS code. Once verified, your number is stored in E.164 format on your profile to enable friend discovery. Other users who have your number in their address book can find you on Cliqit via this mechanism. You may remove your phone number from your profile at any time in Settings. Removing your number will make you undiscoverable via contact matching but does not affect other app functionality.

Standard SMS rates from your carrier may apply when receiving verification codes. We do not charge for sending the code.

You may opt in to push notifications for plan invites, reminders, RSVP updates, and ETA alerts. You can change your notification preference at any time in the app Settings or via your device’s system settings. Opting out does not affect your ability to use any other feature.

The Cliqit name, logo, design, and all software, code, text, graphics, and other materials comprising the Service (excluding User Content) are owned by or licensed to us and are protected by copyright, trademark, and other intellectual property laws. You may not use, copy, or distribute any part of the Service without our express written permission.

If you believe your intellectual property has been infringed, please contact us at cliqit-support@googlegroups.com with “Copyright Claim” in the subject line.

Users can block other users at any time. A block is bidirectional: the blocked user cannot see your plans or profile, and you cannot see theirs. Blocking does not remove an existing friendship automatically but prevents future interaction.

Users can submit content reports for harmful, illegal, or abusive material. Reports are reviewed by our moderation team and are not visible to the reported user. We may take action including content removal, account suspension, or permanent ban.

We reserve the right to remove any User Content or suspend any account that violates these Terms or our content standards, with or without prior notice.

You may delete your account at any time from the app Settings screen. Upon deletion:

• Your profile, username, avatar, and all associated data are permanently deleted.
• All plans you created are deleted, including all associated invites, RSVPs, and polls.
• Your RSVPs, poll votes, and group memberships in plans/groups created by others are removed.
• Deletion is irreversible and we cannot recover your data after the process completes.

We may retain anonymized, aggregated data that cannot identify you for analytics purposes.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

CLIQIT IS A SOCIAL APP. ETA ESTIMATES ARE APPROXIMATE AND MAY BE INACCURATE DUE TO TRAFFIC, GPS SIGNAL, OR OTHER FACTORS. DO NOT RELY ON ETA INFORMATION FOR SAFETY-CRITICAL DECISIONS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLIQIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

You agree to defend, indemnify, and hold harmless Cliqit and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party right, including intellectual property, privacy, or publicity rights.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration conducted by a mutually agreed arbitrator, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction. You waive any right to a jury trial or to participate in a class action lawsuit.

You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action. If this class-action waiver is found unenforceable, the entirety of this arbitration provision shall be null and void.

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you via in-app notice or email. Your continued use of the Service after any change constitutes your acceptance of the updated Terms.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 4.2, 10, 13, 14, 15, and 16 survive termination.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cliqit regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision is not a waiver of that right.
